Change Your Utah Registered Agent

Utah LLCs interested in changing registered agents need to complete and submit a Limited Liability Company Registration Information Change form. Utah corporations can change agents by filing a Corporation Registration Information Change form. Both can be filed by mail, fax, or in person and require a $13 processing fee.
1. Find a Qualified Utah Registered Agent
If you’re interested in changing Utah registered agents, you will first need to find a replacement for your current registered agent that meets the state’s legal requirements. The state of Utah allows individuals or businesses to be registered agents, but they must meet certain criteria.
Individuals
- Must be 18 years or older
- Must be a Utah resident
- Must have a UT physical address (cannot be a P.O. Box)
- Have to be available during regular business hours (Monday through Friday, 9am to 5pm) at the address listed on state paperwork
Businesses
- Must be registered to do business in Utah and in good standing with the state
- Must have a physical business address in Utah (cannot be a P.O. Box)
- Have to be available during regular business hours (Monday through Friday, 9am to 5pm) at the address listed on state paperwork
Whether you choose an individual as your Utah registered agent or a commercial registered agent (like us!), you must make sure to get their consent before listing them on your state paperwork. The state requires your agent’s consent in writing. There is no specific form for this, so whoever you appoint will need to provide you with a consent form that you’ll submit either with your formation paperwork or with your Registration Information Change form.
Failure to get consent from your new registered agent is illegal, and may lead to the Utah Division of Corporations and Commercial Code rejecting your application, suspending your business’s authority to operate in Utah, or (in extreme cases) dissolution of your Utah business.

2. Notify Your Previous Utah Registered Agent
Once you’ve found a new registered agent, make sure to inform your previous registered agent that they are no longer appointed to accept service of process on behalf of your business. Whether your previous agent is a Utah individual or commercial agent, it’s important to ensure that your former agent’s service and obligations come to a full stop. The last thing you want are any important state notifications or other mail getting lost.
3. File a Registration Information Change Form with the State
Once you have your new registered agent lined up, it’s time to fill out your Registration Information Change form. This form not only includes the option to change your Utah registered agent, but you can also use it to update other business information with the state, like your business purpose, your principal address, as well as add or remove members or directors.
The Utah Division of Corporations and Commercial Code strongly encourages online submissions, but they do still accept physical filing by mail, fax, or in person. If you do decide to submit a physical filing, you will need to account for a longer processing time (5 to 7 days). Online filings are processed within a maximum of 48 hours.
To file online, you’ll need to log into the Utah Business Registration Portal. There, you can find the Registration Information Change form for your LLC or corporation. This is the easiest way to submit your filing.

It’s important to note that if you fax your filing, you will also need to include the state-required fax cover letter along with your credit card information. You’ll be able to find this cover letter in your online account with the state.

Do I have to hire a commercial registered agent in Utah?
The state of Utah does not require you to hire a commercial registered agent. You can appoint an individual as long as they’re a Utah resident, 18 years or older, and will be at the address designated on your state paperwork during working hours.
However, we do not recommend appointing an individual as your registered agent. Why? Your registered agent’s name and address will become a part of public record, allowing anyone (spammers and scammers included) to contact them.

How much does it cost to change registered agents in Utah?
The filing fee for your Registration Information Change form is $13.
However, if you wait until you file your mandatory annual report, you can file the form in conjunction for free. You only have to pay the required annual report renewal fee of $18.
How long does it take to change registered agents in Utah?
The time it takes to change your agent officially with the state depends on the method you chose to submit your filing.
